Products: eShinery may discontinue the sale of any product at any time without notice. In this instance, you (the buyer) will be notified as soon as we are notified by the manufacturer or the broker. eShinery has the right to cancel the order or to substitute an item of equivalent specifications. Once we have accepted the order, eShinery has the right to mix brands on an item to fill the requirement of the order. Any product prices displayed on this site do not include shipping, handling or sales taxes if applicable. Sales tax will be added to your total invoice price.
Substitutions: eShinery reserves the right at any time to substitute items meeting or exceeding the specifications as listed in the description of the item. eShinery may substitute items to avoid a lengthy backorder, replace discontinued items and maintain the displayed prices. eShinery will substitute items of equivalent function, quality and similarity of use.
Prices, Quotations and Payment Terms: Unless otherwise noted, all prices are subject to change without notice. All quotations are limited to fifteen (15) days unless stated to the contrary. Prices do not include any present or future sales, use, excise, value-added or similar taxes, which, where applicable, shall be paid by the customer. eShinery is not responsible for typographical errors. Payment terms are Net 30 days unless expressly stated differently on the invoice or quotation. eShinery accepts commercial and institutional purchase orders with approved credit. New customers wishing to establish an account with terms must submit a completed credit application to the eShinery accounting department for verification and processing.
Order Acceptance: eShinery has the right to accept or reject any order placed. Orders are not binding upon eShinery until accepted and processed. eShinery reserves the right, without prior notification, to limit the order quantity on any item and/or refuse service to any customer. Verification of information may be required prior to the acceptance of any order.
Sales Tax: You (the buyer) are responsible for the payment of any state and local sales or use taxes that may apply to your order. The sales tax is calculated based on the full invoice price, and may include charges for shipping and handling if required by law. We will collect the sales & use tax for orders from the State of Illinois. If eShinery does not have a valid Tax Exemption Certificate from customer, eShinery is required to charge sales/use tax on all customer’s purchases. A Tax Exemption Certificate is not valid if any required information is missing or, if it is a Blanket Certificate, it was issued more than three years before. If customer makes a tax-free purchase from eShinery and it is later determined, by a State or Local Department of Revenue, that the purchase was a taxable purchase, customer shall be responsible and agrees to make payment to eShinery of the appropriate sales/use tax, along with any applicable interest and penalties that are assessed by the State or Local Department of Revenue.
Forms of Payment: Payment is accepted via Major credit cards-American Express, Visa, Master Card and Discover or by check, money order and wire transfers. All credit cards are billed once the order has shipped. Any items that are special order, or over $500, are subject to be paid in full before eShinery will process the order. eShinery can ship most items COD if terms are not extended or offered.
Shipping Policy: eShinery passes responsibility of delivery to the carrier at the time of pickup at our warehouse. Losses of items during shipment are the responsibility of the carrier. eShinery will provide you (the buyer) with a tracking number and a phone number for the carrier. It is the buyer’s responsibility to contact the carrier and notify them of the loss package before the reclaiming process can begin. Our standard method of shipping within the continental U.S. is UPS or FEDEX Ground Service.
Shipping & Handling (S&H) Charges: Where eShinery is not at fault, shipping and handling charges are NON REFUNDABLE.
Delivery: All orders are shipped within 48 hours unless the item is not in stock. Please allow a minimum of 4-10 business days for delivery of your order. If you (the buyer) place an order for an items that is not in stock eShinery will contact you within 48 hours from the order being received and accepted. eShinery can bill your UPS or FEDX account, however this must be noted on the order at the time the order is placed or this service is not available to the buyer. Upgraded shipping services, Next Day, 2nd Day, etc., are available at an additional charge. In the event only some of the product is in stock at the time an order is placed, the available product will be shipped via the upgraded service and the backorder will ship via Ground service once stock is replenished. eShinery will try to ship your order out on time and within the stated hours above however, eShinery is not responsible or liable for any delay in receiving or completing your order that is caused by an event beyond eShinery’s control.
Warranty: All Products are sold ‘As is’ and carry no written warranty by eShinery. Only original equipment manufacturer (OEM) warranties may apply.
Restocking Policy: eShinery will charge a restocking fee of no less than 20% and a maximum of 60% plus any shipping charges that we may ensue back to the manufacturer and/or vendor. The restocking fee is also determined by the item being stocked, non stocked or special order. Some items are non returnable and will not be considered for credit or for an RGA number. The amount to be refunded must be credited via the original payment method. You, the buyer, are responsible for all freight charges and this amount will not be credited. This applies to all items returned where eShinery is not responsible for the discrepancy.
Returned Goods and Order Cancellations: No goods may be returned for credit or exchange without an eShinery Returned Goods Authorization Number (RGA#). eShinery will not be responsible for any goods returned without an authorized RGA number. Returned goods must have the RGA number clearly marked on the packaging and be shipped prepaid to eShinery. Returned merchandise may be subject to a reasonable handling and restocking charge. All claims for returns must be made within 15 days of shipment. Customer understands and agrees that any order cancelled, returned, or postponed for material that is dedicated, special, or specific to the customer or that is not normally a stocked item and/or quantity ordered exceeds the Company normal on-hand inventory level will be subject to a cancellation, handling, return, or restocking charge of up to 100% of the value as determined by eShinery. Customer also shall be fully responsible for all goods that are specially designed, modified or manufactured specifically for customer or otherwise not returnable under eShinery’s or manufacturer’s return policy, which are on hand at Company, work in process, in transit or on back order. Customer must submit an RGA authorization form via this website only. RGA#s will not be given over the telephone or via fax. Once RGA form is submitted and approved a RGA# will be forwarded via email.
Finance Charges: eShinery reserves the right to charge 1.5% per month or 18% annually on all past due accounts. The customer shall be responsible for all costs of collection incurred by eShinery, including without limitation lien costs and all attorneys’ fees and expenses.
Legal Jurisdiction and Information: Customer’s obligation shall be governed by, and construed in accordance with, the internal laws of the State of Illinois, without regard to principles of conflicts of law. Customer hereby irrevocably agrees that all disputes arising out of or relating to these terms and conditions or the goods sold hereunder that cannot be resolved by the parties shall be resolved only by the State or Federal courts located in Kane County, Illinois. Customer hereby irrevocably consents and submits to the exclusive jurisdiction and venue of such State and Federal courts and waives any objection or right to contest said jurisdiction or venue or that any such action or proceeding was brought in an inconvenient court. It is agreed that either party may communicate with the other by electronic means. Each party agrees when electronic communications are used, they are deemed to be the equivalent of written and signed documents. eShinery shall have the right to set off any sum due to eShinery from customer against any sum due or to become due to customer from eShinery; such right of set-off being in addition to and not in lieu of any and all other rights and remedies to which eShinery may be entitled. To secure full payment for the goods purchased by or delivered to customer, customer grants eShinery a continuing purchase money security interest in, and a right to repossess, all such goods, wherever located, and customer authorizes the filing of appropriate financing statements, and will from time to time execute such other documents as eShinery may require, with respect thereto.
